Acceptance of Terms

b. Our Content and Software

All rights, title, and interest in and to the Neuraflow app, including its software, interfaces, graphics, and design, are and will remain the exclusive property of Neuraflow and its licensors. Your use of the service grants you no rights to use or reference our intellectual property, except as expressly provided in these Terms.

Changes to the Service

Neuraflow is a dynamic service, constantly evolving to include new features and improvements. Accordingly, we reserve the right to modify, suspend, or discontinue any part of the service at any time, without prior notice. We are not liable for any changes or discontinuation of features or services that may affect your use of Neuraflow.

Termination

Neuraflow reserves the right to terminate or suspend your access to our service at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion. Upon termination, your right to use Neuraflow will immediately cease.

Disclaimers and Limitations of Liability

Neuraflow and all included content are provided on an "as is" basis without warranty of any kind, whether express or implied. We specifically disclaim any and all warranties and conditions of merchantability, fitness for a particular purpose, or non-infringement, and any warranties arising out of course of dealing or usage of trade. Neuraflow takes no responsibility and assumes no liability for any user content that you or any other user or third party posts or transmits using our app. You understand and agree that you may be exposed to user content that is inaccurate, objectionable, inappropriate for children, or otherwise unsuited to your purpose.

Indemnification

You agree to defend, indemnify, and hold harmless Neuraflow, its parent company, officers, directors, employees, and agents, from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Neuraflow app; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, privacy, property, or privacy right; or (iv) any claim that your content caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Neuraflow app.

Governing Law

These Terms and your use of Neuraflow will be governed by and construed in accordance with the laws of the jurisdiction from which Neuraflow operates, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in the jurisdiction of Neuraflow operations, and the parties hereby consent to personal jurisdiction and venue therein.

Changes to Terms

Neuraflow reserves the right to revise these Terms at any time without prior notice. When we make changes, we will make the revised version available on our website and update the “Last Updated” date at the top of these Terms. Your continued use of Neuraflow after any changes to these Terms will constitute your acceptance of such changes.
